2. Website Usage
By using our website, you agree:
To use the website only for lawful purposes
Not to engage in activities that damage, disrupt, or interfere with the website
Not to copy, reproduce, or redistribute content without written consent
We reserve the right to restrict or terminate access for violations.
3. Client Responsibilities
Clients agree to:
Provide accurate, lawful, and complete information required to perform services
Ensure all supplied content does not violate Indian laws, intellectual property rights, or third-party rights
Provide approvals and feedback within reasonable timelines
Delays caused by the client may affect project timelines and outcomes.
4. Payments & Billing (India-Specific)
All fees are quoted in Indian Rupees (INR) unless stated otherwise
Payments must be made in advance or as per the agreed milestone schedule
Late payments may result in suspension of services
Prices are exclusive of applicable GST unless mentioned
Invoices must be cleared within the specified due date.
5. Refund & Cancellation Policy
a. Cancellation by Client
Clients may request cancellation by providing written notice via email
Once work has started, no refunds will be issued for services already delivered or in progress
For monthly or retainer-based services, cancellation must be requested at least 7 days before the next billing cycle
b. Refund Policy
Payments made are non-refundable, except where explicitly stated in writing
No refunds will be provided for:
Strategy planning
SEO work
Ad account setup or management
Campaign optimization
Consulting or custom services
If a refund is approved at our discretion, it will be processed within 7–10 business days.
c. Cancellation by TheDigiMinds
We reserve the right to terminate services without refund if:
The client violates these Terms
The client engages in illegal, unethical, or misleading practices
Required information or cooperation is not provided
6. Intellectual Property Rights
All strategies, processes, templates, tools, and methodologies remain the intellectual property of TheDigiMinds
Upon full payment, the client receives ownership rights to final deliverables created specifically for them
We reserve the right to showcase completed work in our portfolio unless restricted by a written agreement
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary, business, and sensitive information shared during the engagement, in accordance with applicable Indian laws.
9. Limitation of Liability
Digital marketing outcomes depend on multiple external factors such as platform algorithms, competition, industry trends, and user behavior.
TheDigiMinds does not guarantee:
Specific rankings
Leads or sales numbers
Revenue growth
Advertising performance
8. Performance Disclaimer
To the maximum extent permitted under Indian law:
TheDigiMinds shall not be liable for indirect, incidental, or consequential damages
Our total liability shall not exceed the fees paid by the client for the specific service giving rise to the claim
10. Third-Party Platforms
We may use third-party tools and platforms (Google, Meta, email providers, analytics tools, etc.).
TheDigiMinds is not responsible for policy changes, downtime, account suspension, or actions taken by third-party platforms.
11. Governing Law & Jurisdiction (India)
These Terms shall be governed by and construed in accordance with the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of the courts located in [Your City & State, India].
